THIS STREAMSETS, INC. EVENT REGISTRATION TERMS OF SERVICE (“Agreement”) GOVERNS YOUR REGISTRATION AND PARTICIPATION IN THE STREAMSETS CONNECTED ENTERPRISE FORUM 2023 (“Event”) HOSTED BY STREAMSETS, INC. (“StreamSets”). BY CLICKING “REGISTER” DURING THE REGISTRATION PROCESS, OR BY ATTENDING OR PARTICIPATING IN THE EVENT IN ANY CAPACITY, YOU ACCEPT AND AGREE TO BE BOUND BY THIS AGREEMENT AND REPRESENT THAT YOU HAVE READ AND UNDERSTAND ALL THE PROVISIONS HEREIN. AS USED HEREIN, “YOU” AND “YOUR” MEANS THE INDIVIDUAL REGISTERING FOR OR PARTICIPATING IN THE EVENT, AND THE COMPANY OR OTHER LEGAL ENTITY BY WHICH YOU ARE EMPLOYED OR FOR WHICH YOU ARE ACCEPTING THIS AGREEMENT. YOU REPRESENT AND WARRANT THAT THE INDIVIDUAL ENTERING INTO THIS AGREEMENT HAS THE POWER, RIGHT, AUTHORITY AND CAPACITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF SUCH ENTITY. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, IF YOU ARE AN INDIVIDUAL UNDER THE AGE OF 18, IF YOU HAVE PREVIOUSLY BEEN REMOVED OR BANNED FROM A STREAMSETS EVENT, OR YOUR PARTICIPATION IN THE EVENT IS ILLEGAL OR PROHIBITED UNDER APPLICABLE LAW, YOU MAY NOT REGISTER FOR OR ATTEND THE EVENT.

THE EVENT MAY BE CONDUCTED PARTIALLY OR TOTALLY IN A VIRTUAL MANNER.

Please be aware that StreamSets may update and change any part or all of this Agreement at any time at its sole and absolute discretion without notification. If StreamSets updates or changes this Agreement, we may notify you of any material changes through a pop-up notice, email, or other reasonable means, including posting the updated Agreement at https://streamsets.com/legal/ and updating the “Last Modified” date above. We encourage you to review this Agreement periodically.

1. REGISTRATION

In order to attend or otherwise participate in the Event, you will be required to register for the Event for yourself, or if you are registering on behalf of an entity, for each individual who will attend the Event. You represent and warrant that all required information submitted in connection with any such registration is truthful and accurate, and that you have received consent from said individuals to share their personal information with StreamSets. , As the Event is free of charge to all individuals, you hereby confirm that you have disclosed your attendance at the Event to your employer in advance, that your employer has provided permission for you to accept free attendance at this Event, and there are no laws, regulations or policies that prohibit you from accepting free Event attendance benefits.

2. AFFILIATED SERVICES

The Event website may provide links to third-party websites for affiliated services, including accommodation information, solely as a convenience to you. Inclusion on the Event website does not indicate approval or endorsement by StreamSets. Under no circumstances will StreamSets be liable in any way for any third-party services, including, but not limited to, quality, availability, errors or omissions, or damages of any kind. You must evaluate and bear all risks associated with the use of any third-party services, including any reliance on the availability, quality or usefulness of such services. You may be subject to additional terms and conditions that may apply when you use affiliate services. The cancellation policy of a third party accommodation providers would apply to your reservation with that third party.

3. PARTICIPANT WAIVER

You hereby grant StreamSets a non-exclusive, sublicensable, assignable, irrevocable, perpetual, worldwide, royalty-free license to use your name, voice, likeness and biographic information, whether in original or modified form, together with the name, logos, trademarks, service marks and description of the company or entity that you represent at the Event, in connection with any promotional and marketing activities relating to the Event.

4. PERSONAL INFORMATION

StreamSets will handle and protect your registration information, please review the StreamSets’ Privacy Policy  By registering for this Event, you agree that StreamSets and its partners may use your email address to send marketing materials. You also agree that StreamSets may share your personal information with its third-party service providers to process your registration. Such third parties may have their own privacy policies that apply to their processing of your personal information.

5. FEEDBACK

During the Event, you may be invited to provide StreamSets with ideas, suggestions, guidance, or other feedback on its products and services (collectively, “Feedback”), such as by participating in a customer advisory council session. To the extent you provide any such Feedback to StreamSets, you hereby grant StreamSets a nonexclusive, perpetual, irrevocable, royalty free, worldwide license (with the right to grant and authorize sublicenses) to make, have made, use, import, offer for sale, sell, reproduce, distribute, modify, adapt, prepare derivative works of, display, perform and otherwise exploit such Feedback without restriction. >

6. OFFENSIVE BEHAVIOR/NO COMMERCIAL SOLICITATION BY NON-PARTNERS

We want everyone to enjoy the Event without being subject to any offensive behavior. As such, StreamSets reserves the right, in its sole discretion and without refund, to refuse admittance or expel anyone from the Event whom we determine is behaving in a manner detrimental to the Event or to any other attendee. We further reserve the right to expel any individual from the Event if they are reported to be commercially soliciting other Event attendees without StreamSets’ prior written approval. StreamSets reserves the right to take any security measures that it deems necessary to increase the safety of attendees and exhibitors without prior notice.

7. ASSUMPTION OF RISK; UNFORESEEN CIRCUMSTANCES

Your participation in and attendance of the Event is completely voluntary. StreamSets does not guarantee admittance to any specific event, session or keynote or the attendance of any exhibitor or speaker, and StreamSets reserves the right to refuse admittance to any session, keynote or event to any attendee or change the program schedule or cancel specific events at any time without prior notice, at its sole discretion. You accept and assume all risks of any and all personal injury or damage to your personal property that you may face while attending the Event and associated events and waive any claims against StreamSets and its partners and affiliates relating to such risks.

StreamSets will not be held liable and no reimbursement will be made, in the event of the cancellation or modification of the times, dates, sessions and/or events of the Event as a result of an event that is beyond StreamSets’ control, including but not limited to inclement weather, earthquake, flood, or other act of God, war, invasion, act of foreign enemy, hostilities, riot, national state of emergency, plague, pandemic (including COVID-19), act/threat of terrorism, civil unrest, strikes or other labor disputes, or any other similar or related event which delays or prevents any or all of the Event. In the unlikely event that the Event is cancelled, StreamSets will refund any paid registration fees, but will not be liable for any other reimbursements.

8. LIMITATION OF LIABILITY

TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAW, IN NO EVENT SHALL STREAMSETS OR ANY OF ITS VENDORS, DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE TO YOU FOR INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL OR EXEMPLARY DAMAGES, OR IN DIRECT DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF CUSTOMER DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) ARISING FROM OR IN CONNECTION WITH THIS AGREEMENT OR THE EVENT, EVEN IF STREAMSETS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF DAMAGES. YOU AGREE THE MAXIMUM AGGREGATE LIABILITY OF STREAMSETS, AND ITS VENDORS, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION ARISING FROM OR IN CONNECTION WITH THIS AGREEMENT OR THE EVENT SHALL NOT EXCEED THE EVENT REGISTRATION FEES, IF ANY, PAID BY YOU TO AND RECEIVED BY STREAMSETS.

9. DISCLAIMER OF WARRANTIES

STREAMSETS MAKES NO WARRANTIES OF ANY KIND WITH RESPECT TO THE EVENT OR EVENT REGISTRATION, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND STREAMSETS SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, TITLE, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. YOU REPRESENT AND WARRANT THAT YOU ARE AUTHORIZED TO ENTER INTO THIS AGREEMENT, THAT YOU CAN AND WILL COMPLY WITH ALL THE TERMS OUTLINED HEREIN, AND THAT YOU SHALL NOT CAUSE STREAMSETS TO BE IN VIOLATION OF ANY APPLICABLE LAW, REGULATION, OR POLICY, INCLUDING BUT NOT LIMITED TO, THOSE PROHIBITING BRIBERY, KICKBACKS, OR CONFLICTS OF INTEREST.

10. GENERAL

This Agreement represents the entire agreement between you and StreamSets concerning the subject matter herein. This Agreement and the activities governed hereby do not create a partnership, joint venture, agency, fiduciary or employment relationship between the parties. There are no third-party beneficiaries to this Agreement. Any amendment to this Agreement must be in writing signed by the parties. The rights of the parties hereunder shall not be deemed waived except as specifically stated in writing and signed by an officer of the affected party, as applicable. If any term of this Agreement shall be declared invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect. Neither this Agreement nor any rights or obligations under this Agreement may be assigned or otherwise transferred or subcontracted by you, in whole or in part, whether voluntarily or by operation of law, without the prior written consent of StreamSets. Subject to the foregoing, this Agreement will be binding upon and will inure to the benefit of the parties and their respective successors and assigns. Any assignment in violation of the foregoing will be null and void. This Agreement, and all matters arising out of or relating to this Agreement, shall be governed by the procedural and substantive laws of the State of California, USA. The exclusive jurisdiction and venue of any legal action relating to this Agreement or its subject matter (whether of a contractual or non-contractual nature) shall be either the state or federal courts in San Francisco County, California.
